What This Document Covers

These Terms of Service (“Terms”) are a legal agreement between you and Lightover Inc., a Delaware corporation (“Lightover,” “we,” or “us”). They govern your use of KindlyQR.com and any related applications (the “Service”).

By creating an account or using KindlyQR, you agree to these Terms. If you don't agree, please don't use the Service.

About KindlyQR

KindlyQR helps you organize and track your belongings. You can catalog items across locations, share access with family members, offer items to people you know, and optionally list things for sale. We provide the software — you provide the stuff.

Creating an Account

To use KindlyQR, you need an account. When you create one:

  • You must be at least 18 years old to use the Service on your own. If you're between 13 and 17, you may only use KindlyQR through a parent or guardian's account, with their permission and supervision. No one under 13 may use KindlyQR.
  • Your information must be accurate. Don't impersonate others or provide false details.
  • You're responsible for your account. Keep your password secure.
  • Accounts belong to individuals. You can't transfer or sell your account.

What You Add to KindlyQR

When you use KindlyQR, you'll add content: item names, photos, descriptions, locations, and more. This is your content, and you own it.

However, by adding content to KindlyQR, you grant us permission to store, display, and process it as needed to provide the Service.

You're responsible for what you upload. Don't add content that's illegal, harmful, deceptive, or infringes on someone else's rights.

How You May Use KindlyQR

We grant you a personal, non-transferable license to use KindlyQR for its intended purpose: organizing your belongings and, if you choose, connecting with others about items.

Please don't:

  • Use KindlyQR to break any laws
  • Attempt to access our systems in unauthorized ways
  • Scrape, copy, or reverse-engineer the Service
  • Interfere with the Service's operation

Sharing and Collaboration

KindlyQR lets you share access to your inventory with others. You control what they can see and do through permission settings. When you share access, you're responsible for choosing appropriate permission levels and any actions taken by people you've invited.

Offering Items to Others

The Dibs feature lets you offer items to friends and family. The Marketplace feature lets you list items for sale.

Important:

  • We don't handle transactions. KindlyQR connects people, but we're not involved in any exchange of money or goods.
  • We don't inspect or guarantee anything. We have no way to verify the condition, safety, authenticity, or legality of items.
  • You're responsible for your listings and purchases. Any disputes are between you and the other party.
  • We're not liable for transactions. You release Lightover from any claims arising from items bought, sold, traded, or given away through the Service.

Messaging

KindlyQR includes messaging so users can communicate about items. Be respectful. Don't use messaging for spam, harassment, or anything illegal.

Fees

KindlyQR may charge fees for certain features. If we do, we'll tell you what they cost before you're charged. Any taxes related to your use are your responsibility.

Ending Your Use of KindlyQR

  • You can leave anytime. Delete your account through settings.
  • We can end your access if you violate these Terms.
  • We can change or discontinue the Service at any time.

No Warranties

KindlyQR is provided “as is.” We don't guarantee that the Service will always be available, error-free, or meet your specific needs. We disclaim all warranties, express or implied.

Limits on Our Liability

To the fullest extent allowed by law:

  • Lightover is not liable for any indirect, incidental, special, consequential, or punitive damages
  • Lightover is not liable for lost profits, lost data, or business interruption
  • Our total liability is limited to the greater of $100 or the fees you've paid us in the past 12 months

Resolving Disputes

We'd rather work it out. If you have a problem, contact us at [email protected]. We'll try to resolve it informally.

If we can't, we'll arbitrate. You and Lightover agree to resolve disputes through binding individual arbitration, not in court. You can opt out within 30 days of accepting these Terms by emailing [email protected].

Governing law. These Terms are governed by Delaware law.

Changes to These Terms

We may update these Terms. If we make significant changes, we'll notify you through the Service or by email. Your continued use means you accept the new Terms.
